End User License Agreement and Terms of Use

This End User License Agreement and Terms of Use ("Agreement") is between Standards Core LLC ("Standards Core," "we," "us," or "Publisher") and the person or entity accessing, installing, purchasing, subscribing to, or using the Standards Core product identified in the applicable marketplace listing, order, or product documentation (the "Product") ("Customer," "you," or "your").

This Agreement governs your use of the Product and related Standards Core services made available through Microsoft Marketplace, Microsoft AppSource, Microsoft 365, or other Standards Core-approved channels.

By accessing, installing, purchasing, subscribing to, or using the Product, you agree to this Agreement. If you are accepting this Agreement on behalf of an organization, you represent that you have authority to bind that organization.

Microsoft is not a party to this Agreement. Microsoft's relationship with you and Standards Core is governed by Microsoft's own agreements and marketplace terms.


1. Definitions

"Affiliate" means any entity that controls, is controlled by, or is under common control with a party.

"Customer Content" means text, documents, selected passages, document context, instructions, prompts, files, or other content provided by or on behalf of Customer through use of the Product.

"Customer Data" means Customer Content, Personal Data, account information, usage information, support information, and other data submitted to or processed by the Product in connection with Customer's use of the service.

"Documentation" means user guides, support materials, product descriptions, technical information, website materials, and other written or electronic materials Standards Core makes available for the Product.

"End User" means any person Customer permits to access or use the Product.

"Product" means the Standards Core software product identified in the applicable marketplace listing, order, or Documentation, including add-ins, applications, and related Standards Core services, websites, software, technology, hosting, and service functionality made available under this Agreement.

"Order" means the applicable marketplace order, subscription, purchase record, invoice, or other ordering document for the Product.

"Personal Data" means information relating to an identified or identifiable natural person.

"Support Data" means information Customer provides to Standards Core in connection with technical support, troubleshooting, maintenance, or customer service.

"Subprocessor" means a third party that Standards Core uses to provide, host, process, support, secure, monitor, or maintain the Product and that may process Customer Data or Personal Data.

2. License Grant

Subject to Customer's compliance with this Agreement, Standards Core grants Customer a limited, nonexclusive, nontransferable, revocable license to access and use the Product for Customer's internal business purposes during the applicable subscription term or authorized use period.

The Product is licensed, not sold. Standards Core reserves all rights not expressly granted in this Agreement.

Customer may permit its End Users to use the Product, but Customer is responsible for End Users' compliance with this Agreement and for all activity occurring under Customer's account, tenant, subscription, or authorized access.

3. Product Description

The Product is an AI-assisted review and revision tool for Microsoft Word and related Microsoft 365 environments.

The Product supports review and revision of documents such as grant proposals, funding requests, letters of support, reporting narratives, renewal language, and related documents.

The Product may provide review comments, suggested revisions, alternative language, comparisons, and related writing support for Customer's review.

The Product does not ghostwrite documents, replace the writer, replace organizational judgment, or automatically submit, approve, finalize, or file Customer documents.

4. AI-Assisted Review; Customer Responsibility

The Product uses artificial intelligence to generate review material, suggested revisions, alternative language, comparisons, and related writing support.

All AI-generated outputs are provided for Customer's review only.

Customer is solely responsible for reviewing, evaluating, editing, accepting, rejecting, submitting, publishing, or otherwise using any output generated through the Product.

Standards Core does not guarantee that any output will be complete, accurate, compliant with any grant, funding, legal, regulatory, organizational, third-party, or reviewer requirement, or suitable for any particular use.

Customer remains responsible for the content, quality, accuracy, compliance, submission, and use of Customer's documents.

5. No Award or Outcome Guarantee

The Product is a writing and review support tool.

Standards Core does not guarantee funding, grant approval, award decisions, reporting acceptance, reviewer response, donor response, business results, or any other result arising from Customer's use of the Product.

6. User Control Over Document Changes

The Product is designed to present suggestions for Customer review.

The Product does not automatically finalize, submit, approve, or file Customer documents.

Customer remains responsible for accepting, rejecting, editing, copying, inserting, submitting, publishing, saving, or otherwise using any suggested language.

Customer should not rely on the Product as a document approval system, submission system, records-management system, archive, or storage system.

7. Customer Content and Data Processing

When Customer initiates a review, the Product may process Customer Content, including selected text, document context selected or permitted by Customer, Customer instructions, and AI-generated outputs, solely to provide the requested review and related service functionality. Customer Content is transmitted to and processed by Standards Core servers to provide the requested review.

Standards Core does not use Customer document content or AI-generated outputs to train AI models or improve generalized AI systems.

Standards Core does not save AI-generated outputs after the requested review is completed, except as necessary for transient processing, security, debugging, error handling, legal compliance, or service operation.

Standards Core does not retain full document context after the requested review is completed, except as necessary for transient processing, security, debugging, error handling, legal compliance, or service operation.

Standards Core may collect and use account information, usage information, support information, system logs, and interaction metadata, such as feature usage, prompt selections, click activity, review activity, model-selection information, revision-count information, and similar service data, to provide, secure, maintain, support, analyze, and improve the Product.

If any usage information or metadata is associated with an account, tenant, user, subscription, device, or IP address, it may be treated as Customer Data or Personal Data under applicable law.

8. Third-Party Services, AI Model Providers, and Subprocessors

Customer acknowledges that Standards Core may use hosting providers, infrastructure providers, AI model providers, analytics and logging providers, support providers, security providers, and other subprocessors to provide and support the Product.

The Product may allow Customer or its authorized users to select from available AI models for a review.

Customer Content is submitted to an AI model provider only when Customer or its authorized user initiates a review. Review requests are routed through Standards Core servers to the AI model provider.

AI-generated outputs are returned for Customer review during that interaction and are not saved by Standards Core after the requested review is completed, except as described in Section 7.

AI model processing is performed by established industry AI model providers engaged by Standards Core as subprocessors. The AI model providers in use at any time, including the provider supporting the free version, are identified on the subprocessor page linked below. Standards Core may make additional AI model providers available over time.

Standards Core will maintain a current subprocessor list at the subprocessor page on the Standards Core website. Standards Core will provide notice before giving a new subprocessor access to Personal Data where required by applicable law.

9. Customer Responsibilities

Customer is responsible for:

  1. controlling access to the Product;
  2. ensuring that all End Users comply with this Agreement;
  3. ensuring that Customer has the right to submit Customer Content for processing;
  4. reviewing all AI-generated outputs before use;
  5. complying with applicable laws, privacy obligations, grant requirements, organizational policies, and third-party requirements;
  6. maintaining copies of any documents or outputs Customer chooses to preserve; and
  7. determining whether the Product is appropriate for Customer's intended use.

Customer must not submit Customer Content that Customer does not have the right to use, process, or provide to Standards Core or its subprocessors.

10. Restrictions

Customer may not, and may not permit any End User or third party to:

  1. copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Product, except to the extent applicable law expressly permits;
  2. work around technical limitations, usage limits, access controls, security features, or service restrictions;
  3. use the Product for unlawful, harmful, deceptive, infringing, or abusive purposes;
  4. use the Product to process content Customer does not have the right to use;
  5. resell, sublicense, rent, lease, lend, distribute, or provide the Product as a hosted or managed service to third parties;
  6. use the Product to develop, train, benchmark, or improve a competing product or AI system without Standards Core's written permission;
  7. interfere with the security, integrity, performance, or availability of the Product;
  8. introduce malware, malicious code, or harmful content into the Product; or
  9. use the Product in violation of applicable Microsoft terms, marketplace rules, or Documentation.

11. Ownership

Customer retains ownership of Customer Content.

Standards Core does not claim ownership of Customer documents, Customer instructions, Customer-provided text, or AI-generated outputs generated in response to Customer's use of the Product.

Subject to this Agreement, Customer may use AI-generated outputs produced through the Product, provided Customer remains responsible for reviewing and validating those outputs before use.

The Product does not save AI-generated outputs for later retrieval. Customer is responsible for copying, inserting, saving, or otherwise preserving any output Customer chooses to use.

Standards Core retains all rights, title, and interest in and to the Product, including software, technology, workflows, prompts, interfaces, models, designs, documentation, service improvements, trademarks, and other intellectual property.

12. Feedback

If Customer or any End User provides suggestions, ideas, comments, requests, or other feedback about the Product, Standards Core may use that feedback without restriction or compensation, provided Standards Core does not use Customer Confidential Information in violation of this Agreement.

Feedback does not include Customer Content.

13. Privacy

Standards Core will process Personal Data in accordance with this Agreement, applicable privacy laws, and Standards Core's published privacy policy available at the privacy page on the Standards Core website.

Customer is responsible for obtaining any required rights, notices, permissions, and consents before submitting Personal Data or third-party content through the Product.

Where Standards Core processes Personal Data on behalf of Customer, Customer is the controller or business, and Standards Core is the processor or service provider, unless otherwise required by applicable law or stated in writing.

Standards Core will process Personal Data only as necessary to provide, secure, maintain, support, and improve the Product, comply with legal obligations, and fulfill this Agreement.

14. Security

Standards Core will use reasonable administrative, technical, and organizational safeguards designed to protect Customer Data, such as encryption of Customer Data in transit.

Customer acknowledges that no software, hosting environment, network, AI-enabled service, or internet transmission can be guaranteed to be error-free, uninterrupted, or completely secure.

Customer is responsible for maintaining the security of its own systems, accounts, devices, Microsoft 365 environment, credentials, and End User access.

15. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that a reasonable person should understand to be confidential given the nature of the information or the circumstances of disclosure.

Customer Confidential Information includes Customer Content, Customer Data, non-public business information, and account authentication credentials.

Standards Core Confidential Information includes non-public product information, software, technical information, security information, pricing information, business information, and documentation.

Each party will use the other party's Confidential Information only to perform under this Agreement and will protect it using reasonable care.

Neither party may disclose the other party's Confidential Information to third parties except to its employees, contractors, advisors, affiliates, subprocessors, or representatives who need to know it for purposes of this Agreement and are bound by confidentiality obligations.

Confidential Information does not include information that is publicly available without breach of this Agreement, already known without confidentiality restriction, independently developed without use of the other party's Confidential Information, or lawfully received from a third party without confidentiality restriction.

A party may disclose Confidential Information if required by law, court order, subpoena, or government authority, provided the party gives notice where legally permitted.

The confidentiality obligations for Customer Content and Customer Data continue until deleted or no longer retained by Standards Core. Other confidentiality obligations continue for five years after disclosure.

16. Support

Standards Core may provide support for the Product through the support channels identified in the marketplace listing, Standards Core website, Documentation, or applicable Order.

Standards Core may use Support Data internally to provide technical support, troubleshooting, maintenance, and service improvement.

Support availability, response times, and service levels may vary by plan, subscription, or published support terms.

17. Availability and Product Changes

Standards Core may update, modify, improve, suspend, or discontinue features of the Product from time to time.

Availability of specific features, AI models, review modes, pricing tiers, usage limits, and support options may vary by plan, region, technical requirements, marketplace rules, or third-party service availability.

Standards Core may make changes required for security, legal compliance, third-party service changes, Microsoft platform changes, or service reliability.

Standards Core will use reasonable efforts to avoid materially reducing core Product functionality during an active paid subscription term, except where necessary for security, legal compliance, or continued service operation.

18. Payment, Subscriptions, and Taxes

If Customer purchases the Product through Microsoft Marketplace or another third-party marketplace, billing, payment, taxes, renewal, cancellation, and marketplace account administration may be handled by that marketplace under its applicable terms.

Customer is responsible for all fees, taxes, and charges associated with Customer's order, subscription, or use of the Product.

Unless otherwise stated in an applicable Order or required by law, fees are non-refundable.

If the Product is made available on a free, trial, beta, promotional, or limited-use basis, Standards Core may modify, suspend, limit, or discontinue that access at any time.

19. Suspension

Standards Core may suspend Customer's or any End User's access to the Product if:

  1. Customer violates this Agreement;
  2. Customer's use creates a security, legal, operational, or service-integrity risk;
  3. Customer fails to pay amounts due, where payment is owed directly to Standards Core;
  4. Standards Core is required to do so by law, court order, Microsoft, a marketplace provider, or a third-party service provider; or
  5. continued access could harm Standards Core, the service, other customers, or third parties.

Standards Core will use reasonable efforts to provide notice before suspension where practical, unless immediate suspension is necessary.

20. Term and Termination

This Agreement begins when Customer first accesses, installs, purchases, subscribes to, or uses the Product and continues while Customer uses the Product.

Customer may stop using the Product at any time.

Standards Core may terminate this Agreement or Customer's access to the Product if Customer materially breaches this Agreement and does not cure the breach within 30 days after notice, or immediately if the breach cannot reasonably be cured or creates legal, security, or operational risk.

Upon termination, Customer must stop using the Product.

Sections concerning ownership, Customer responsibility, confidentiality, privacy, disclaimers, limitation of liability, indemnity, payment obligations, governing law, and other provisions that by their nature should survive will survive termination.

21. Warranties

Standards Core represents that it has the authority to enter into this Agreement and provide the Product.

Standards Core will use commercially reasonable efforts to provide the Product in material accordance with applicable Documentation.

Customer represents that it has the authority to enter into this Agreement and that its use of the Product will comply with applicable law, this Agreement, and any applicable marketplace or Microsoft terms.

22. Disclaimer

Except as expressly stated in this Agreement, the Product is provided "as is" and "as available."

To the maximum extent permitted by law, Standards Core disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, error-free operation, and suitability for any particular grant, funding, reporting, legal, regulatory, organizational, or business purpose.

Standards Core does not warrant that AI-generated outputs will be accurate, complete, original, compliant, non-infringing, accepted by any reviewer, or suitable for Customer's intended use.

Customer is responsible for independent review of all outputs.

23. Defense of Third-Party Claims

Customer will defend and indemnify Standards Core, its affiliates, officers, employees, contractors, and representatives against third-party claims arising from:

  1. Customer's or End Users' violation of this Agreement;
  2. Customer Content;
  3. Customer's use of AI-generated outputs;
  4. Customer's violation of applicable law or third-party rights; or
  5. Customer's submission, publication, filing, or use of documents or outputs created, reviewed, or revised using the Product.

Standards Core will defend Customer against third-party claims alleging that the Product, as provided by Standards Core and used as permitted under this Agreement, infringes a third party's intellectual property rights.

Standards Core has no obligation for claims arising from:

  1. Customer Content;
  2. AI-generated outputs used, edited, submitted, or published by Customer;
  3. Customer's combination of the Product with non-Standards Core products, services, data, or materials;
  4. Customer's modification or misuse of the Product;
  5. Customer's violation of this Agreement; or
  6. use of the Product after Standards Core provides notice to stop due to a claim or potential claim.

The indemnified party must promptly notify the indemnifying party of the claim, reasonably cooperate, and allow the indemnifying party to control the defense and settlement. No settlement may impose liability, admission, or non-monetary obligations on the indemnified party without its written consent.

24. Limitation of Liability

To the maximum extent permitted by law, Standards Core will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of funding opportunities, loss of goodwill, reputational harm, interruption of business, loss of data, or damages arising from Customer's reliance on AI-generated outputs.

For paid subscriptions, Standards Core's total aggregate liability for all claims arising out of or relating to this Agreement or the Product will not exceed the amount Customer paid for the Product during the 12 months before the event giving rise to the claim.

For free, trial, beta, promotional, or no-charge use, Standards Core's total aggregate liability will not exceed US$100.

The limitations in this section apply regardless of the theory of liability, whether contract, tort, negligence, strict liability, warranty, statute, or otherwise, and even if a remedy fails of its essential purpose.

Nothing in this Agreement limits liability that cannot be limited under applicable law.

25. Compliance with Laws

Each party will comply with laws applicable to its performance under this Agreement.

Customer is responsible for complying with laws, rules, grant requirements, reporting obligations, organizational policies, privacy obligations, and third-party requirements applicable to Customer's use of the Product and any documents or outputs Customer creates, reviews, submits, publishes, or files.

Customer may not use the Product in violation of export control, sanctions, anti-corruption, privacy, intellectual property, or other applicable laws.

26. Government Use

If Customer is a government entity or uses the Product in connection with government-funded work, Customer is responsible for determining whether this Agreement, the applicable Order, and Customer's use of the Product comply with applicable procurement rules, grant rules, records rules, confidentiality obligations, and government requirements.

The Product is not a government filing system, records-retention system, or compliance-certification system.

27. Assignment

Customer may not assign this Agreement without Standards Core's prior written consent, except in connection with a merger, reorganization, acquisition, or transfer of substantially all assets, provided the assignee agrees to be bound by this Agreement.

Standards Core may assign this Agreement to an affiliate or in connection with a merger, reorganization, acquisition, sale of assets, financing, or corporate transaction.

Any attempted assignment in violation of this section is void.

28. Notices

Standards Core may provide notices by email, through the Product, through the marketplace, through Customer's account, or by posting on Standards Core's website.

Notices are effective when sent, posted, or received, depending on the method used and applicable law.

29. Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, unless applicable law requires otherwise.

The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Pennsylvania for disputes arising out of or relating to this Agreement, unless applicable law requires otherwise.

30. Order of Precedence

If there is a conflict between documents governing Customer's use of the Product, the following order applies:

  1. applicable marketplace order or subscription terms, but only for billing, subscription, renewal, cancellation, and marketplace transaction terms;
  2. this Agreement;
  3. Standards Core privacy policy;
  4. Standards Core subprocessor list;
  5. Standards Core support terms;
  6. Documentation.

Microsoft marketplace terms may separately govern Customer's marketplace account, purchase flow, billing relationship, Microsoft services, and Microsoft platform use.

31. Changes to this Agreement

Standards Core may update this Agreement from time to time.

For material changes, Standards Core will provide notice by posting the updated Agreement, notifying Customer through the Product, sending email, or using another reasonable method.

Changes will apply prospectively unless otherwise required by law.

Customer's continued use of the Product after the effective date of an updated Agreement constitutes acceptance of the updated Agreement.

32. Severability

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

33. Waiver

Failure to enforce any provision of this Agreement does not waive that provision. Any waiver must be in writing and signed by the party granting the waiver.

34. Independent Contractors

The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, fiduciary relationship, employment relationship, or franchise.

35. No Third-Party Beneficiaries

This Agreement does not create third-party beneficiary rights except where expressly stated.

36. Entire Agreement

This Agreement, together with the applicable Order, privacy policy, subprocessor list, support terms, and Documentation, forms the entire agreement between Customer and Standards Core regarding the Product.

This Agreement supersedes prior or contemporaneous communications, proposals, representations, or agreements regarding the Product.

Your privacy is important to us. This Privacy Agreement applies to Standards Core LLC and explains how we collect, use, store, and protect information in connection with our website, applications, Microsoft 365 add-ins, SaaS platform, and related services.

Standards Core does not sell user information or customer content. We do not use customer document content to train artificial intelligence models or to improve generalized artificial intelligence systems.

When you use our Microsoft 365 add-ins or SaaS services, document content is processed only at your direction. Some Standards Core add-ins may process content locally or through Microsoft 365 application permissions. Other Standards Core services, including the Product, process document content through Standards Core servers when a user initiates a review or other requested action.

For the Product, selected text, permitted document context, user instructions, and AI-generated outputs are transmitted to Standards Core servers when a user initiates a review so Standards Core can provide the requested review workflow, route requests to selected AI model providers, return results, manage usage, and secure the service.

The Product allows you or your authorized users to select from available AI models for a review. Customer content is submitted to an AI model provider only when you initiate a review using a model served by that provider.

We do not retain full document context or AI-generated outputs for product improvement unless you separately enable or agree to that retention in writing. We may collect and use account information, usage information, support information, system logs, and de-identified or aggregated interaction metadata, such as feature usage, prompt selections, click activity, review activity, and revision-count information, to provide, secure, maintain, support, analyze, and improve the service.

The AI systems used by our services are not free to us, so we monitor usage levels to manage cost, performance, reliability, and abuse prevention. Usage monitoring may include information such as characters processed, review type, selected model, feature activity, and credit usage. We do not use this information to reconstruct customer document content.

Standards Core may use third-party AI model providers, hosting providers, infrastructure providers, analytics/logging providers, support providers, and other subprocessors to provide and support our services. Because different Standards Core products may use different providers, Standards Core may maintain product-specific subprocessor pages or disclosures, including for the Product. The current subprocessor list for the Product is available at the subprocessor page on the Standards Core website.

We store registration and login information using Microsoft Azure services and security controls, including encryption and administrative access protections. You may request access to or deletion of your registration information by contacting Support@standards-core.ai.

We may store limited session information in your browser's local storage, such as "Remember Me" tokens, template selections, review settings, or other preferences for your convenience. We cannot view information stored only in your local browser storage, and you can clear it at any time through your browser settings.

We do not have access to other files on your computer or network. Modern browser sandboxing limits add-in access to the content and permissions made available through the Microsoft 365 application and the actions you choose to take.

We do not share or sell user information to other organizations, businesses, or companies. This includes registration and login information stored in our systems, except where necessary to provide, secure, support, or maintain the service through our subprocessors or where required by law.

Standards Core is independent and unbiased and does not accept third-party advertisements, product sponsorships, or incentivized placement or ranking.

Your Rights

Depending on your jurisdiction, including where applicable under the EU General Data Protection Regulation or the California Consumer Privacy Act, you may have the right to access, correct, delete, or export personal information that we hold about you, and to object to or restrict certain processing activities. You can exercise these rights by contacting us at Support@standards-core.ai.

Data Security

Data in transit is protected using TLS 1.2 or higher. Data at rest is encrypted using Microsoft Azure security controls, including Transparent Data Encryption where applicable. Access to production systems is limited by role-based access control and administrative access protections, including multi-factor authentication.

Retention Period

We retain personal information, usage information, support information, system logs, and de-identified or aggregated interaction metadata only as long as needed to provide, secure, maintain, support, analyze, and improve the service, comply with legal obligations, resolve disputes, and enforce agreements. Unless a longer retention period is required for security, legal, support, or operational reasons, telemetry logs are erased after 90 days and aggregate usage metrics are retained for up to 12 months.

Changes to This Agreement

We may update this Privacy Agreement from time to time. Material changes will be announced at least 30 days before they take effect via email to registered users, an in-product banner, or another reasonably prominent notice.
